Terms of Service

These Terms of Service ("Terms") govern access to and use of bepleez (the "Service"), operated by [bepleez, legal entity to be confirmed — SASU in formation, SIREN pending], registered office at [registered address pending incorporation] ("bepleez", "we", "us"). By creating an account, installing the bepleez app on your store, or otherwise using the Service, you ("Merchant", "you") agree to these Terms.

1. What bepleez is

bepleez is a negotiation agent that merchants install on their own e-commerce storefront (currently: Shopify). When a buyer indicates hesitation on price, bepleez evaluates real-time context — stock levels, margin guardrails you configure, competitive positioning, and the buyer's own signals — and responds with a personalized offer.

Three things bepleez is not:

  • Not a marketplace. bepleez never lists, holds, or sells inventory. The Merchant remains the seller of record for every transaction.
  • Not a checkout. The buyer always completes their purchase on the Merchant's own site. bepleez never redirects the buyer elsewhere.
  • Not a blanket-discount tool. Offers are generated per negotiation, within the guardrails the Merchant configures (margin floor, discount ceiling, category rules) — bepleez never overrides them.

2. Accounts and eligibility

You must be authorized to act on behalf of the business installing bepleez. You're responsible for the accuracy of the catalog, pricing, and margin data you connect, and for keeping your account credentials secure. bepleez may suspend an account it reasonably believes is compromised or used in violation of these Terms.

3. Plans, billing, and the Deal Token

Subscription plans — Starter, Growth, Scale, or a custom plan — are described at bepleez.com/#pricing and may combine a fixed monthly fee, an included volume of negotiations, and a success fee charged only on deals that convert into a paid order.

A Deal Token is a cryptographically signed, time-limited certificate generated when a buyer accepts a negotiated offer. It encodes the exact terms (product, price, quantity, validity window) and cannot be reused past expiry or transferred outside the negotiation it was issued for. Once issued, the terms it certifies are binding between you and the buyer — bepleez is not a party to that sale contract.

Fees are billed in arrears based on actual usage and conversions during the billing period, as detailed in your plan and any order form.

You may configure custom negotiation strategies (margin floors, discount ceilings, per-category rules). You are solely responsible for setting guardrails that reflect your actual margin and legal obligations (including any pricing regulation applicable to your business).

4. Acceptable use

You agree not to:

  • use the Service to negotiate on behalf of a business you're not authorized to represent;
  • attempt to reverse-engineer, scrape, or circumvent the widget's negotiation logic;
  • use bepleez to facilitate deceptive pricing practices, price discrimination based on legally protected characteristics, or any purpose that violates applicable consumer-protection or competition law in your jurisdiction;
  • interfere with the security or normal operation of the Service.

5. Data and privacy

bepleez processes data about your store, your catalog, and the buyers who interact with the negotiation widget in order to generate personalized offers, on your behalf and on your instructions. What we collect, why, and the rights available to you and your buyers are described in our Privacy Policy, which forms part of these Terms.

You are responsible for having a lawful basis to share buyer data you collect directly (e.g., loyalty status) with bepleez, and for your own privacy disclosures to buyers on your storefront.

Model improvement. Independently of running negotiations on your store, you consent to bepleez processing your negotiation data, in aggregated and anonymized form, to improve the performance of its negotiation model across its Merchant base, as described in Section 3.2 of the Privacy Policy. You can object to this use at any time from your dashboard or by contacting privacy@bepleez.com, without affecting how the Service runs on your store.

6. Intellectual property

bepleez retains all rights in the Service, including the negotiation engine, agent logic, and Deal Token mechanism. This includes the right to use aggregated and anonymized negotiation data, under the terms of Section 5, to develop and improve these elements.

You retain all rights in your catalog, brand, and store content.

Outside of this limited license over aggregated and anonymized data, nothing in these Terms transfers ownership of either party's intellectual property to the other.

7. Service availability

We work to keep the Service available and to communicate planned maintenance in advance. Outside of a specific service-level commitment agreed in writing (available on Scale and Custom plans), the Service is provided without an uptime guarantee, and we disclaim warranties of uninterrupted or error-free operation to the maximum extent permitted by law.

8. Limitation of liability

To the maximum extent permitted by applicable law, bepleez's total liability arising out of or related to these Terms or the Service is limited to the fees you paid in the three (3) months preceding the event giving rise to the claim. Neither party is liable for indirect, incidental, or consequential damages. Nothing in this section limits liability that cannot be limited under applicable law (including, in France, liability for gross negligence, willful misconduct, or death/personal injury).

9. Termination

Either party may terminate for convenience with 30 days' written notice, or immediately if the other party materially breaches these Terms and fails to cure within 15 days of notice. On termination, bepleez will stop generating new offers on your storefront; obligations that by their nature survive (payment for usage already incurred, confidentiality, limitation of liability, the license over data already aggregated and anonymized under Section 6) continue to apply.

10. Governing law and disputes

These Terms are governed by French law. Any dispute that cannot be resolved amicably will be submitted to the courts of [jurisdiction pending incorporation], without prejudice to any mandatory consumer-protection venue rules that may apply.

11. Changes to these Terms

We may update these Terms as the Service evolves. We'll post the updated version here with a new "last updated" date and, for material changes, notify account owners by email before the change takes effect.
